Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the FirmFlow platform ("Service"), operated by HomeIT Business & Consultancy ("we", "us", "our"), a company registered under Thai law.

By creating an account or using the Service you agree to these Terms. If you are accepting on behalf of a firm or organisation, you represent that you have authority to bind that entity.

2. Description of Service

FirmFlow is a cloud-based practice management platform designed for advisory accounting and tax practices, boutique law firms, and management consultancies operating in Thailand. Features include workflow management, client document storage, task tracking, and team collaboration tools. The feature set may change over time as the product evolves.

3. Accounts

• You must provide accurate and complete information when registering.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• Notify us immediately at support@thailand-saas.com if you suspect unauthorised access.
• You must be at least 18 years old and legally authorised to enter into contracts under Thai law.

4. Subscriptions and Billing

• Subscriptions are billed on a monthly or annual basis as selected at sign-up.
• Payment is made directly to HomeIT Business & Consultancy via Thai bank transfer or PromptPay QR code. Payment instructions are provided on your invoice.
• Subscriptions renew automatically unless cancelled before the renewal date.
• We reserve the right to adjust pricing with at least 30 days' written notice by email.
• Invoices unpaid after 14 days of the due date may result in suspension of the account until payment is received.

5. Cancellation and Refunds

• You may cancel your subscription at any time from your account settings or by emailing us.
• Cancellation takes effect at the end of the current billing period; you retain access until then.
• We do not provide pro-rata refunds for unused portions of a billing period except where required by applicable Thai consumer protection law.
• Annual subscribers who cancel within 14 days of their initial payment may request a full refund.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of Thai law
• Upload malicious code, viruses, or any content that could damage our systems or those of other users
• Attempt to gain unauthorised access to any part of the platform or its infrastructure
• Resell, sublicense, or commercially exploit the Service without our prior written consent
• Use the Service to store or transmit content that infringes third-party intellectual property rights
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

7. Intellectual Property

FirmFlow, including its design, code, trademarks, and documentation, is the intellectual property of HomeIT Business & Consultancy. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service during your active subscription.

Your data belongs to you. All content, client records, documents, and data that you upload to FirmFlow remain your property. We claim no ownership over it. You grant us only the limited right to store and process it in order to deliver the Service.

8. Data and Privacy

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service you acknowledge that you have read and understood that policy.

Where you upload personal data of your own clients to FirmFlow, you are the data controller and we act as data processor under PDPA. You are responsible for ensuring you have a valid legal basis to process and share that data with us.

9. Availability and Support

We aim to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Unplanned outages will be communicated via email as soon as possible.

Support is provided via email at support@thailand-saas.com during Thai business hours (Monday–Friday, 09:00–18:00 ICT).

10. Limitation of Liability

To the maximum extent permitted by Thai law, HomeIT Business & Consultancy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the total amount paid by you to us in the three months preceding the claim.

11. Disclaimers

The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding fitness for a particular purpose, accuracy, or compliance with any specific professional standard. FirmFlow is a productivity tool; it does not constitute legal, accounting, or financial advice.

12. Termination

Either party may terminate the agreement by cancelling the subscription. We may terminate or suspend your account immediately for breach of these Terms, non-payment, or conduct that poses a risk to other users or our infrastructure.

Upon termination you may request an export of your data within 30 days. After that period we may delete your data in accordance with our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, including the Civil and Commercial Code of Thailand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Thailand.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
